Shipping Policies
These Ship with Medisave Health & Lifestyle Pvt Ltd Program Policies ("Program Policies") are incorporated into and supplement the Medisave Health & Lifestyle Pvt Ltd Shipping Terms and Conditions (“Agreement”). Terms defined in the Agreement shall have the same meaning when used in these Program Policies, unless specified otherwise. In the event there is any conflict between the provisions of the Agreement and the Program Policies (including the Conditions of Carriage), the Parties agree that the Program Policies will prevail.
1. Basis the shipment information submitted by the Consignor on Shipper Central or on any alternative channel provided by Medisave Health & Lifestyle Pvt Ltd , including its contents, weight, and dimensions. Medisave Health & Lifestyle Pvt Ltd will identify and provide the Consignor the ship methods available and whether such shipment can be carried. Consignor may choose the preferred ship method for each shipment basis the ship methods available.
2. In an event, Consignor provides incorrect information to Medisave Health & Lifestyle Pvt Ltd , Medisave Health & Lifestyle Pvt Ltd reserves the right to charge Fees on the basis that the correct information had been provided or refuse to carry the shipment.
3. Medisave Health & Lifestyle Pvt Ltd reserves the right to suspend Services in its sole discretion on account of Consignor’s failure to comply with these Program Policies. This may include, but is not limited to, shipping, inaccurate packaging, declaring incorrect dimensions and invoices not paid within the applicable Due Date and shipping dangerous goods.
Annexure A
SERVICE DETAILS
1. Description of Services
(a) For each ship method identified, Medisave Health & Lifestyle Pvt Ltd shall pick packages from Consignor’s identified location and deliver them to locations identified by Consignor and specified as the delivery location in the manifest shared with Medisave Health & Lifestyle Pvt Ltd ("Services"). Services shall also include collection and deposit of money on behalf of Consignor by Medisave Health & Lifestyle Pvt Ltd and providing the required deposit details along with the relevant receipts/ documents/ papers to Consignor.
(b) Services will be provided basis: (i) the scope of work and operating plan as agreed with the Consignor from time to time; (ii) the performance standards, service levels and metrics measurement to be followed in performance of the Services, communicated by Medisave Health & Lifestyle Pvt Ltd to the Consignor, from time to time.

4. Service Provider Fees/Payment Terms:
a) Medisave Health & Lifestyle Pvt Ltd shall issue an invoice to Consignor either on a weekly basis in arrears for the Services rendered in the previous 7 (seven) days, or on a monthly basis in arrears for the Services rendered in the previous month in accordance with the terms of this Agreement and send it to the Consignor via e-mail.
b) Medisave Health & Lifestyle Pvt Ltd shall, at its sole discretion, decide and intimate the Consignor of the invoice cycle i.e., whether a weekly cycle or a monthly cycle be implemented for the Services. Consignor shall pay to Medisave Health & Lifestyle Pvt Ltd or the designated representative ("Designated Party") of Medisave Health & Lifestyle Pvt Ltd as notified by Medisave Health & Lifestyle Pvt Ltd in writing from time to time (which can be over an email) the Fees payable for the invoice raised (being undisputed amount of the invoice) within the applicable payment terms (decided by Medisave Health & Lifestyle Pvt Ltd ) as covered herein below in (c) or (d). It is hereby agreed that all payments to be made by Consignor to Medisave Health & Lifestyle Pvt Ltd or the Designated Party under any invoice shall be subject to deduction of applicable withholding taxes. Medisave Health & Lifestyle Pvt Ltd reserves the right to request Consignor for valid proof (including the bank transaction receipt / statement) confirming payment of Fee by the Consignor and Consignor hereby agrees to provide Medisave Health & Lifestyle Pvt Ltd such proof immediately to the satisfaction of Medisave Health & Lifestyle Pvt Ltd .
c) In the event Medisave Health & Lifestyle Pvt Ltd decides on a weekly invoice cycle, the following terms should be applicable:
i. Consignor shall pay the invoice when due without reduction or deferment on account of any claim, counterclaim or set-off within 7 (seven) days from the date of invoice.
ii. In case of any queries, Medisave Health & Lifestyle Pvt Ltd must be notified in writing of such queries relating to the invoices within 4 (four) days of receipt of the invoice, failing which the invoice shall be deemed to have been accepted as correct and Medisave Health & Lifestyle Pvt Ltd will have no liability whatsoever.
d) In the event Medisave Health & Lifestyle Pvt Ltd decides on a monthly invoice cycle, the following terms should be applicable:
i. Consignor shall pay the invoice when due without reduction or deferment on account of any claim, counterclaim or set-off within 30 (thirty) days from the date of invoice.
ii. In case of any queries, Medisave Health & Lifestyle Pvt Ltd must be notified in writing of such queries relating to the invoices within 7 (seven) days of receipt of the invoice, failing which the invoice shall be deemed to have been accepted as correct and Medisave Health & Lifestyle Pvt Ltd will have no liability whatsoever.
iii. Interest at the rate of 18% per annum shall be payable on all invoices not paid within Due Date in accordance with the terms of the Agreement. Medisave Health & Lifestyle Pvt Ltd shall be entitled to withhold its Services if the invoice are not paid with accrued interest within the Due Date. After settlement of the outstanding dues, Medisave Health & Lifestyle Pvt Ltd may, at its sole discretion, decide to resume services to the consignor. For the purpose of this Agreement, "Due Date" for the weekly invoice cycle shall mean the 7th day from the date of invoice and for monthly invoice cycle shall mean the 30th day from the date of invoice.
iv. The proof of delivery or other alternate documentation evidencing delivery of the shipment will be furnished provided a request in that behalf is made within 30 (thirty) days of booking of the shipment but under no circumstances will be a pre-condition for payment of Medisave Health & Lifestyle Pvt Ltd 's invoices.
v. Medisave Health & Lifestyle Pvt Ltd shall remit the total amount collected against Cash on Delivery ("COD") shipments to the bank account details of which shall be shared by the Consignor on Shipper Central.
vi. Notwithstanding any other provision of the Agreement or these Program Policies, Medisave Health & Lifestyle Pvt Ltd may withhold remittance of any sums due and payable to the Consignor, in whole or in part, on account of Consignor's breach of the Agreement or for other reasonable causes (including set off any Claims, damages, overdue invoices, costs, charges or expenses incurred by Medisave Health & Lifestyle Pvt Ltd ). In the event, Consignor fails to make payment within the applicable Due Date or from the date of demand for payment (for expenses/ costs / charges where invoice is not raised), Medisave Health & Lifestyle Pvt Ltd reserves the right to adjust in part or full the total amount collected towards the COD shipments against the total overdue amounts with applicable interest as mentioned herein above, any other monetary obligations of the Consignor, or any regulatory fines/penalties which have been incurred and paid by Medisave Health & Lifestyle Pvt Ltd that are attributable directly to breach of obligations assumed by the Consignor under this Agreement and the balance COD amount (if any) shall be remitted to the Consignor.
vii. Bank Guarantee: Upon a request by Medisave Health & Lifestyle Pvt Ltd , Consignor will procure a financial security in the form of an unconditional and irrevocable bank guarantee ("Bank Guarantee") in favor of Medisave Health & Lifestyle Pvt Ltd , for an amount as may be communicated by Medisave Health & Lifestyle Pvt Ltd in writing and in the manner as specified under the Program Policies. Medisave Health & Lifestyle Pvt Ltd may in its sole discretion invoke this Bank Guarantee in part or full if the Consignor breaches its payment obligations under the Agreement or these Program Policies or for other reasonable causes (including set off any Claims, damages, costs, or expenses incurred by Medisave Health & Lifestyle Pvt Ltd ). Consignor agrees to renew the Bank Guarantee at least 30 days prior to expiry of the Bank Guarantee, and to replenish the amount in the Bank Guarantee within 5 working days in the event the Bank Guarantee is invoked in part or full by Medisave Health & Lifestyle Pvt Ltd . In the event Consignor fails to renew the Bank Guarantee within the time period as mentioned above, Medisave Health & Lifestyle Pvt Ltd shall have the right (without prejudice to other rights it may have under the Agreement or these Program Policies) to invoke the Bank Guarantee and retain the sums received as non-interest bearing monetary security from the Consignor which shall be adjusted for any Claims, damages, costs, or expenses incurred by Medisave Health & Lifestyle Pvt Ltd , other monetary obligations of the Consignor including any regulatory fines/penalties which have been incurred and paid by Medisave Health & Lifestyle Pvt Ltd that are attributable directly to breach of obligations assumed by the Consignor under this Agreement and balance (if any) shall be returned at the time of expiry/termination of the Agreement. Failure to replenish the Bank Guarantee as mentioned herein shall amount to breach under this Agreement
Annexure B
CONDITIONS OF CARRIAGE
GENERAL TERMS
Medisave Health & Lifestyle Pvt Ltd will make available Services subject to the Agreement and the terms and conditions as provided herein, including all terms and conditions incorporated herein by reference ("Conditions of Carriage"). By tendering shipments for carriage to Medisave Health & Lifestyle Pvt Ltd , the Consignor is deemed to have agreed to the Conditions of Carriage stated herein. Medisave Health & Lifestyle Pvt Ltd reserves the right to unilaterally modify, revise, amend, change or supplement these Conditions of Carriage without any prior notice.
In the event there is a conflict between these Conditions of Carriage and the provisions of any other document agreed / executed between the Parties, these Conditions of Carriage would prevail.
1. CONSIGNOR’S COVENANTS, REPRESENTATIONS AND WARRANTIES
(a) In addition to the representations and warranties under the Agreement, the Consignor additionally represents and warrants that: (i) it has all the rights, power and authority necessary for (and is not subject to any restriction, penalty, agreement, commitment, laws, rule, regulation, proceedings or order which is violated by) accepting and performing its obligations under these Conditions of Carriage; (ii) the shipment provided to Medisave Health & Lifestyle Pvt Ltd does not violate or infringe any third party’s patents, copyrights, trade secrets, trademarks or other proprietary rights; (iii) it shall notify Medisave Health & Lifestyle Pvt Ltd in a timely manner, regarding matters related to safety, security, health, environmental and hazardous material management as regards the shipment provided; (iv) it is the owner or the authorized agent of the owner of the shipment entrusted to Medisave Health & Lifestyle Pvt Ltd for carriage; or represents the person having interest in the shipment; (v) the documents provided by the Consignor and accompanying the shipment (including goods forwarding note, and other transit documents) are true, correct and complete in all respects and are compliant with all applicable laws. The shipment does not contain any units the carriage of which is restricted or prohibited under Section 10 below; and (vi) the shipment is properly marked, addressed and packed to ensure safe handling and is compliant with all the applicable laws.
(b) Consignor shall furnish such information and such documents (including GST and PAN) to Medisave Health & Lifestyle Pvt Ltd as are necessary to meet the requirements under the respective local laws of the originating, destination and the states through which the shipments are likely to pass enroute to destination. Medisave Health & Lifestyle Pvt Ltd shall not be obligated to enquire into the correctness or sufficiency of such information or documents.
(c) Consignor to ensure that all shipments entrusted to Medisave Health & Lifestyle Pvt Ltd are prepared and packed adequately to ensure safe carriage with normal care in handling. Medisave Health & Lifestyle Pvt Ltd shall not be liable for any damage or shortages occurring as a result of improper packing.
(d) The Consignor agrees and acknowledges that it shall be responsible to issue, at the time of booking the shipments, the goods forwarding note containing the details of goods, declaration about the value of the shipment and other information as prescribed under the applicable laws. However, particulars relating to the quantity, volume and condition of the shipments shall not constitute evidence against Medisave Health & Lifestyle Pvt Ltd .
(e) The Consignor is responsible for raising or collecting from consignee any appropriate documentation including invoices, delivery challans, waybills, stock transfer forms or any other statutorily required documentation for reporting of both shipment of items from your location. The Consignor will be solely responsible for: (i) clearing any shipments held up at any check-posts or seized by tax authorities; and/or (ii) liabilities (including penalties imposed by tax authorities) arising, as a result of non-compliance of any required documentation requirements.
2. CONDITIONS OF CARRIAGE
(a) Medisave Health & Lifestyle Pvt Ltd will carry the shipment from the point of tendering to the point of delivery to consignee at the address indicated on the shipping label. There is no obligation to deliver a shipment to the consignee personally and Medisave Health & Lifestyle Pvt Ltd may deliver to someone other than the person named in the shipping label on behalf of the consignee and such delivery shall be considered a valid discharge of Medisave Health & Lifestyle Pvt Ltd 's obligations. Medisave Health & Lifestyle Pvt Ltd may either take physical PODs or use an electronic device/medium of communication to obtain proof of delivery and/or proof of attempt to deliver and the Consignor agrees that it will not object to Medisave Health & Lifestyle Pvt Ltd relying on a printed or electronic-copy of the same as evidence merely on the grounds that the information concerned is obtained and stored in some other form.
(b) Based on Medisave Health & Lifestyle Pvt Ltd ’s reasonable business understanding, Medisave Health & Lifestyle Pvt Ltd may determine certain prepaid/COD shipments to be delivered/rejected securely using one-time password (“OTP”) verification. Medisave Health & Lifestyle Pvt Ltd will send (or cause to be sent) the OTP to the consignee’s mobile number through SMS, call, or any other third-party messaging services and/or to the consignee's email address and/or email address, the details of which are furnished by Consignor on Shipper Central or provided via any other means determined / made available by Medisave Health & Lifestyle Pvt Ltd at the time of booking a shipment with Medisave Health & Lifestyle Pvt Ltd . At the time of delivery, the consignee will be requested to share the OTP with the delivery personnel who will then electronically validate the OTP on their handheld device. Upon successful validation of the OTP, Medisave Health & Lifestyle Pvt Ltd will deliver/ reject the shipment to the consignee and such delivery/rejects shall be deemed a valid discharge of Medisave Health & Lifestyle Pvt Ltd 's obligations. The Consignor will be able to see the deliveries/rejects completed by Medisave Health & Lifestyle Pvt Ltd using OTP validation on Shipper Central.
(c) Notwithstanding anything to the contrary, the Consignor acknowledges and agrees that (i) it is the Consignor’s sole responsibility to provide accurate details (mobile number and email address) of the consignee to Medisave Health & Lifestyle Pvt Ltd ; (ii) OTP verification will be prima facie evidence and proof of delivery (POD) securely and in good condition by Medisave Health & Lifestyle Pvt Ltd or attempt to delivery or proof of rejection (POR) of a shipment by the consignee that a shipment has been delivered securely and in good condition by Medisave Health & Lifestyle Pvt Ltd ; (iii) it will not object to Medisave Health & Lifestyle Pvt Ltd relying on OTP verification as prima facie evidence for POD; (iv) it cannot claim DNR (Delivered but Not Received) for all OTP verified deliveries by Medisave Health & Lifestyle Pvt Ltd as it will be conclusive POD; (v) Medisave Health & Lifestyle Pvt Ltd shall not be liable for non-delivery for all OTP verified rejects; (vi)Medisave Health & Lifestyle Pvt Ltd shall not be liable for non-delivery on account of incomplete or erroneous mobile number and/or email address furnished by the Consignor; (vii) if any person other than the consignee provides the correct OTP at the time of delivery, then delivery to such other person will be considered to be valid and such OTP verification will be prima facie evidence for POD.
(d) The Consignor additionally acknowledges and agrees that for all OTP enabled deliveries/rejects, the consignee must share correct OTP with Medisave Health & Lifestyle Pvt Ltd at the time of delivery of the shipment. In case, the shipment cannot be delivered to the consignee and is required to be returned to the Consignor due to (i) incorrect consignee details (mobile number and/or email address) provided by the Consignor for the delivery of the shipment; (ii) consignee not sharing the OTP with Medisave Health & Lifestyle Pvt Ltd for any reason whatsoever; (iii) consignee sharing incorrect OTP with Medisave Health & Lifestyle Pvt Ltd , the Consignor shall be liable to pay all the charges borne by Medisave Health & Lifestyle Pvt Ltd for returning the shipment in accordance with the rates notified to the Consignor, as also any Taxes (as defined below) applicable thereon.
(e)In case the shipment has to be returned for any reason whatsoever, the Consignor shall pay all charges levied by Medisave Health & Lifestyle Pvt Ltd for returning in accordance with the rates notified to the Consignor, as also any Taxes (as defined below) applicable thereon.
(f)Medisave Health & Lifestyle Pvt Ltd reserves the right to carry the Consignor's shipments by any route using multi-modal transportation according to its own handling, storage, movement methods and plans, and by use of its business associates, co-loaders, co-couriers, franchisees or other agents.
(g)Medisave Health & Lifestyle Pvt Ltd reserves the right to refuse, hold, cancel, postpone, return, destroy, report / intimate the appropriate authorities about any shipment at any time if Medisave Health & Lifestyle Pvt Ltd believes that such shipment would, likely to cause damage or delay to other shipments, or persons, or the carriage of which is prohibited by law or is in violation of any of these Conditions of Carriage. In such scenario the title to each such disposed or destroyed shipment will transfer to the Medisave Health & Lifestyle Pvt Ltd as necessary for it to dispose of or destroy the shipment. In addition, Consignor will compensate Medisave Health & Lifestyle Pvt Ltd for any damages incurred including any expenses Medisave Health & Lifestyle Pvt Ltd incurs in connection with any unsuitable shipments. The fact that Medisave Health & Lifestyle Pvt Ltd accepts a shipment does not mean that such shipment conforms to the applicable laws and regulations or to the Conditions of Carriage.
(h) Medisave Health & Lifestyle Pvt Ltd reserves the right, to open and/or inspect any shipment at any time, at its own option or upon the request of the competent authorities and shall not incur any liability thereof.
Medisave Health & Lifestyle Pvt Ltd shall not be liable in any circumstances for any delay, loss, damage and/or resultant claims due to seizure or detention of shipments during transit by competent authorities.
3. SHIPPING LABEL AND PACKING
(a) Medisave Health & Lifestyle Pvt Ltd shipping label is non-negotiable and shall be prima facie evidence of the (i) acceptance of shipments; (ii) acceptance of these Conditions of Carriage; and (iii) conclusion of the contract between Medisave Health & Lifestyle Pvt Ltd and the Consignor.
(b) Consignor acknowledges and agrees that the details of sale invoice provided at the time of the placing a shipment Service request will be included as part of the shipping label and other transportation compliance documentation. For such shipping labels, Medisave Health & Lifestyle Pvt Ltd will consider GST ID of the pickup address state declared by the Consignor on Shipper Central. Consignor further agrees that Medisave Health & Lifestyle Pvt Ltd may submit such documents to tax officials during the inspections.
(c) Each package within a shipment must be legibly and durably marked with the full name and complete postal address with the PIN Code and telephone number of both the Consignor and the recipient in accordance with the standards as may be communicated by Medisave Health & Lifestyle Pvt Ltd from time to time. Medisave Health & Lifestyle Pvt Ltd shall not be liable for non-delivery on account of incomplete or erroneous address furnished by the Consignor.
(d) Any article susceptible to damage as a result of any condition which may be encountered during handling or transportation by air, railway or road must be adequately protected by the shipper by proper packaging and Medisave Health & Lifestyle Pvt Ltd shall not be liable for any damage or shortages occurring as a result of improper packing.
Additionally, the Consignor shall be compliant with the Packaging and Labelling requirements listed at Annexure D and Annexure E hereto.
4. SURCHARGES.
Medisave Health & Lifestyle Pvt Ltd reserves the right to adjust its rates if any government levy, cess, tax, surcharge or other change in law occurs which has the potential to impact rates offered by Medisave Health & Lifestyle Pvt Ltd . The Consignor, by tendering their shipment to Medisave Health & Lifestyle Pvt Ltd , agrees to pay such increased service fee. The Consignor acknowledges and understands that the rates applicable to this Agreement are based on, amongst other factors including, the average per liter diesel price of preceding calendar quarter. Hence, in addition to the foregoing, Medisave Health & Lifestyle Pvt Ltd reserves the right to re-negotiate and revise the rates or terminate this Agreement if there is an increase in the fuel prices in excess of 10%. For the purpose of this Clause, the average diesel price has been computed as the average of the diesel prices per liter in the previous calendar quarter in Delhi, Bangalore, Mumbai, Chennai and Kolkata.
5. CHARGEABLE WEIGHT
(a) Every Medisave Health & Lifestyle Pvt Ltd shipment shall be charged by its chargeable weight, as defined hereunder, and not by the actual weight. The chargeable weight shall be the higher of: (i) The actual weight rounded off to the next higher half kg or one kg as per the rate category agreed to; or (ii) The volume weight similarly rounded off as in (i) above.
(b) Volume weight (Dimensional weight) of a shipment, in kilograms, is its gross cubic volume in cubic centimeters divided by the volumetric divisor.
Medisave Health & Lifestyle Pvt Ltd reserves the right to re-weigh or re-measure any shipment to confirm the calculation and chargeable weight.
6. UNDELIVERABLE SHIPMENTS
(a) A shipment shall be considered to be undeliverable if: (i) the consignee's address is incomplete, illegible, in-correct or cannot be located. In such scenario, Medisave Health & Lifestyle Pvt Ltd will not be liable to make any delivery attempt.
(b) A shipment will also be considered to be undeliverable if: (i) the consignee (or anyone on his behalf) is not present; or (ii) the consignee’s mobile number is incorrect or not furnished by Consignor; or (iii) in case of OTP enabled deliveries, the consignee does not share OTP for delivery of any shipment or shares incorrect OTP. In such scenarios, Medisave Health & Lifestyle Pvt Ltd , on a commercially reasonable basis, agrees to make 1 (one) additional attempt for delivery; unless - (i) the shipment would likely cause damage or delay to other shipments, or injury to persons; or (ii) the contents of shipment or packaging are damaged to the extent that re-wrapping is not possible; or (iii) the shipment is detained or otherwise unable to clear local or state boundaries.
(c) A shipment will also be considered to be undeliverable if: (i) the consignee fails or refuses to accept delivery or sign or pay for delivery of any shipment. In such scenario, Medisave Health & Lifestyle Pvt Ltd , on a commercially reasonable basis, agrees to make 1(one) additional attempt for delivery provided the Consignor uploads and completes NDR feedback as required on Shipper Central within 3 days from the first delivery attempt made by Medisave Health & Lifestyle Pvt Ltd ; unless - (i) the shipment would likely cause damage or delay to other shipments, or injury to persons; or (ii) the contents of shipment or packaging are damaged to the extent that re-wrapping is not possible; or (iii) the shipment is detained or otherwise unable to clear local or state boundaries. It is clarified that the Consignor shall upload and complete NDR as required on Shipper Central within the specified time, failing which Medisave Health & Lifestyle Pvt Ltd may not be able to make an additional final delivery attempt.
For all shipments that are considered undeliverable under this Agreement, Medisave Health & Lifestyle Pvt Ltd shall use reasonable efforts to return such shipment to the Consignor at Consignor’s cost, failing which Medisave Health & Lifestyle Pvt Ltd may elect to dispose of or destroy the shipment at its sole discretion without incurring any liability whatsoever to the Consignor or anyone else. Medisave Health & Lifestyle Pvt Ltd shall, out of the sale proceeds so received, be entitled to retain a sum equal to the freight, storage and other charges due including expenses incurred for the sale and the surplus, if any, from such sale proceeds shall be returned to the Consignor, as the case may be.
7. LIMITS OF LIABILITY
(a) The liability of Medisave Health & Lifestyle Pvt Ltd for any loss or damage to any shipment in relation to a Service shall not exceed the amount specified for the applicable ship method.
(b) The declared value of shipments for carriage cannot exceed the invoice value.
(c) Medisave Health & Lifestyle Pvt Ltd 's acceptance for carriage of any shipment bearing a declared value in excess of the allowed maximums does not constitute a waiver of any provision of or limits as to such shipment.
(d) Medisave Health & Lifestyle Pvt Ltd shall not be responsible for any losses, damages and/or claims on account of delay in pickup, transportation or delivery of any shipment regardless of cause of such delays.
(e) The Consignor will indemnify Medisave Health & Lifestyle Pvt Ltd for all losses, expenses, and any claims made against Medisave Health & Lifestyle Pvt Ltd by the consignee or a third party, arising where Medisave Health & Lifestyle Pvt Ltd does not deliver a shipment because the consignee does not pay the COD amount in the appropriate form or refuses to accept the shipment. In such a scenario, amounts paid by Consignor for all losses, expenses and any claims made against Medisave Health & Lifestyle Pvt Ltd will not be subject to service tax.
(f) The Parties hereby agree and acknowledge that Medisave Health & Lifestyle Pvt Ltd 's liability for any loss, theft or damage to the goods/shipment (whether in contract, tort or any other legal theory to the fullest extent permitted by law) shall not exceed lower of (i) invoiced value of shipment; and (ii) INR 2,000 (Indian Rupees Two Thousand only).
8. INSURANCE
Medisave Health & Lifestyle Pvt Ltd does not provide insurance cover and the Consignor may insure the shipments entrusted for carriage to Medisave Health & Lifestyle Pvt Ltd at his own cost and expense. In the event of any loss or damage to the shipment in such a scenario, Medisave Health & Lifestyle Pvt Ltd agrees to provide the Consignor a certificate of facts ("COF") upon a written request from the Consignor. The Consignor agrees and acknowledges that the COF will be issued by Medisave Health & Lifestyle Pvt Ltd without admission of any claim and that Medisave Health & Lifestyle Pvt Ltd shall be discharged of all liabilities, if any arising out of the shipment on acceptance of the loss/damage/shortage certified by the Consignor.
9. NO WARRANTIES
Save as expressly set out herein, Medisave Health & Lifestyle Pvt Ltd makes no warranties, express or implied with respect to the Services provided under the Agreement.
10. ITEMS NOT ACCEPTED FOR CARRIAGE
(a) Medisave Health & Lifestyle Pvt Ltd will not carry the following items/materials: items classified as hazardous material, dangerous goods, articles prohibited or restricted by IATA (International Air Transport Association), ICAO (International Civil Aviation Organization), BCAS (Bureau of Civil Aviation Security of India) or other government or regulatory agencies, including; (i) Explosives (e.g., Arms, Ammunition, Fireworks, Flares, Gunpowder, Airbag Inflators, etc.) (ii) Gases (e.g., Aerosol, Hairspray, Lighters, Fire Extinguisher, Pressurized Gas Cylinders, etc.); (iii) Flammable Liquids (e.g., Alcohol, Acetone, Cosmetics, Fuel Products, Paint, Varnish, any liquid with a flash point of 60ºC or less, etc.); (iv) Flammable Solids (e.g., Sodium, Potassium, Calcium, Calcium Carbide, Phosphorous, etc.); (v) Oxidisers and Organic Peroxides (e.g., Oxygen Generators, Fertilizers, Weed Killers, Sodium Chloride, Ammonium Chloride, etc.); (vi) Toxic and Infectious Substances (e.g., Insecticides, Pesticides, Cyanides, UN2814, UN2900, etc.); (vii) Radioactive Materials (or finished goods containing same) (e.g., Cobalt, Caesium, Fluorine, Iridium, Thorium, Uranium, etc.) (viii) Corrosive Substances (eg: Acids and Alkalis, Mercury, Lead Acid Batteries, Bleaching Agents, etc.) (ix) Miscellaneous Substances (e.g.,Magnetized Materials, Dry Ice, Environmentally hazardous substances, Asbestos, Lithium Batteries, Motor Vehicles, etc.,). Anything dangerous or obnoxious or which may cause inconvenience to passengers and all such goods which are prohibited for carriage under the Indian Aircraft Rules 1934. Any items as may from time to time be notified by Medisave Health & Lifestyle Pvt Ltd to be restricted and/or banned and/or dangerous and/or prohibited for carriage. Such items include but are not limited to: precipitates; gold and silver ore; bullion; precious metals and stones; jewelry; semi-precious stones including commercial carbons or industrial diamonds; currency (paper or coin) of any nationality; securities (including stocks and bonds, share certificates and blank signed share transfer forms); coupons; stamps; negotiable instruments in bearer form; cashier's cheques; travelers’ cheques; money orders; passports; credit/debit/ATM cards; antiques; works of art; lottery tickets and gambling devices; contraband; fragile glassware; crockery; bone China; Indian Postal Articles; Philately Items; Alarm devices; Anti-freeze; Activated SIM cards; replicates of fire arms, knives and other replicate weapons.
(b) Dangerous Goods (DG) are restricted. It is Consignor’s responsibility to confirm if a commodity is DG or not. Non-Hazardous Chemicals may be accepted for carriage provided they are not prohibited by BCAS (Bureau of Civil Aviation Security) and subject to the agreement of Medisave Health & Lifestyle Pvt Ltd .
(c) The contents of this Section are only indicative and not exhaustive and shipments prohibited by law should not be tendered. Any items notified by the Government as restricted or prohibited under any law shall stand incorporated herein, as the case may be, as and when notified from time to time.
(d) Additional restrictions may apply depending upon destination, Service and ship method used. Medisave Health & Lifestyle Pvt Ltd reserves the right to reject shipments based upon these limitations or for reasons of security or safety. Medisave Health & Lifestyle Pvt Ltd shall be entitled to charge an administrative fee for shipment rejected and for the costs of returning goods, where applicable, to the Consignor.
(e) The Consignor shall be solely liable for all costs and consequences arising out of the carriage of the items mentioned in this Section. Medisave Health & Lifestyle Pvt Ltd excludes all liability for shipments containing such items howsoever accepted (including acceptance by mistake or under notice).
(f) In addition to the above, Consignor agrees to comply with the requirements set out listed at Annexure E.
11. CLAIMS
(a) Claims for Damage: All claims for damage or delay or marked delivered but not received must be notified by consignor by raising a claim to Medisave Health & Lifestyle Pvt Ltd within seven (7) calendar days after delivery of the shipment, failing which no action for damages or non-receipt may be brought against Medisave Health & Lifestyle Pvt Ltd . Receipt of the shipment by the recipient without written notice of damage on the delivery receipt is prima facie evidence that the shipment was delivered in good condition. The consignor acknowledges and agrees that Medisave Health & Lifestyle Pvt Ltd shall not be liable and shall not reimburse for damage claims for receipt of the shipment by the recipient for OTP-enabled shipments, as it is prima facie evidence that the shipment was delivered with intact packaging. As a condition for Medisave Health & Lifestyle Pvt Ltd considering any claim for damage, the recipient must make the contents, original cartons and packaging available for inspection by Medisave Health & Lifestyle Pvt Ltd and must be retained until the claim is concluded. Medisave Health & Lifestyle Pvt Ltd reserves the right to inspect the damaged shipment on the shipper's or recipient’s premises and to retrieve it for inspection at an Medisave Health & Lifestyle Pvt Ltd location. Medisave Health & Lifestyle Pvt Ltd shall be entitled to require proof in respect of any claim that the goods were undamaged when transit commenced.
(b) Claims for Loss: All claims for loss must be received by Medisave Health & Lifestyle Pvt Ltd in writing within 60 days after the shipment is picked up by Medisave Health & Lifestyle Pvt Ltd . Further, consignor agrees that for Medisave Health & Lifestyle Pvt Ltd to consider any claim for loss, only shipments falling under any of the following conditions shall be considered valid:
(i) Neither forward or reverse delivered for 45 days after the shipment is picked up by Medisave Health & Lifestyle Pvt Ltd
(ii) Marked as LOST
(iii) Marked as Missing for 10 days
(c) No claim for loss, damage will be entertained until all invoices and charges have been paid in full. The amount of any such claim will not be deducted from any dues owed to Medisave Health & Lifestyle Pvt Ltd .
(d) Consignor agrees to adhere to the requirements set forth under Annexure F for any claims to be raised pursuant to this Section 11.
(e) The Consignor acknowledges and agrees that for open "RTO" shipments i.e., any shipment which has gone back to the Consignor, Medisave Health & Lifestyle Pvt Ltd shall not be held liable and disclaims all liability for any damage to RTO shipments (including without limitation the inner contents of a shipment) if the outer packaging or box is intact or in undamaged condition at the time of delivery by Medisave Health & Lifestyle Pvt Ltd . Notwithstanding anything to the contrary, Consignor agrees that Medisave Health & Lifestyle Pvt Ltd has the right to inspect the shipment at the time of delivering or post-delivery of RTO shipment, as it deems fit and Medisave Health & Lifestyle Pvt Ltd 's decision in this regard shall be final and binding.
(f) Consignor acknowledges and agrees that Medisave Health & Lifestyle Pvt Ltd 's network is not designed for shipping of perishable products. Considering the aforementioned, if the Consignor still decides to ship any perishable products under this Agreement, then Consignor agrees that Medisave Health & Lifestyle Pvt Ltd disclaims all liability in this regard and that Consignor shall be solely liable for all costs and consequences arising out of the carriage of the items mentioned in this Section under all circumstances. Medisave Health & Lifestyle Pvt Ltd excludes all its liability including without limitation any liability for reimbursement of damage claims involving the shipping of any perishable goods) howsoever accepted (including acceptance by mistake or under notice) for any of the following perishable goods including but not limited to - fruits, vegetables, live flowers and potted plants, cut flowers and florist greens, fresh meat and meat products, baked goods and confectionary, frozen food and any other items considered highly perishable by Medisave Health & Lifestyle Pvt Ltd .
The perishable list above and the contents of this Section are only indicative and not exhaustive. The Consignor shall indemnify Medisave Health & Lifestyle Pvt Ltd against all claims, demands, proceedings, fines, penalties, damage, costs and expenses suffered by Medisave Health & Lifestyle Pvt Ltd or by any other person to whom Medisave Health & Lifestyle Pvt Ltd is liable by reason of all losses suffered by and claims made against Medisave Health & Lifestyle Pvt Ltd arising out of the carriage by Medisave Health & Lifestyle Pvt Ltd of perishable items, whether or not declared by the Consignor as such including all claims made upon Medisave Health & Lifestyle Pvt Ltd towards taxes, duties, penalties and interest.
12. LIEN ON SHIPMENTS CARRIED.
Medisave Health & Lifestyle Pvt Ltd shall have a general lien on all shipments in its possession, custody or control for any monies whatsoever due from the Consignor or owner of the shipment and such general lien shall extend to all freight charges and Taxes, advances, or any other charges of any kind arising out of transit hereunder. Medisave Health & Lifestyle Pvt Ltd shall be entitled to detain any shipment until such dues are paid and, without prejudice to Medisave Health & Lifestyle Pvt Ltd other legal remedies to recover its costs, charges and expenses, shall be entitled, after giving 14 (fourteen) days’ notices to the Consignor, to destroy the shipments as agent for and at the expense of the Consignor and apply the proceeds in or towards the payment of such sums. Upon accounting to the Consignor for any balance remaining after payment of any sums due to Medisave Health & Lifestyle Pvt Ltd and any costs of retention, insurance and sale or disposal, Medisave Health & Lifestyle Pvt Ltd shall be discharged of any liability whatsoever in respect of the shipment.
13. CONSIGNOR’S INDEMNITIES TO MEDISAVE HEALTH & LIFESTYLE PVT LTD .
The Consignor shall indemnify Medisave Health & Lifestyle Pvt Ltd against all claims, demands, proceedings, fines, penalties, damage, costs and expenses suffered by Medisave Health & Lifestyle Pvt Ltd or by any other person to whom Medisave Health & Lifestyle Pvt Ltd is liable by reason of: (a) any irregularity, incorrectness or incompleteness of the particulars and statements or by the absence, insufficiency or irregularity of any information or documents furnished by the Consignor or other owner of the goods or any servant or agent or either of them; (b) insufficient or improper packaging, labeling or addressing of the goods; (c) all claims and demands whatever by whomsoever made in excess of the liability of Medisave Health & Lifestyle Pvt Ltd under these Conditions; (d) all losses suffered by and claims made against Medisave Health & Lifestyle Pvt Ltd arising out of the carriage by Medisave Health & Lifestyle Pvt Ltd of items not acceptable for carriage, including Dangerous and Prohibited Goods, whether or not declared by the Consignor as such; and(e) all claims made upon Medisave Health & Lifestyle Pvt Ltd towards taxes, duties, penalties and interest.
14. LIABILITIES NOT ASSUMED.
Medisave Health & Lifestyle Pvt Ltd shall not be liable for loss of or damage to any shipment arising from causes beyond its reasonable control including but not limited to: (a) an Act of God; or any consequences of war, armed conflict, invasion, act of foreign enemy, hostilities (whether war or not), civil war, riot, rebellion, insurrection, military or usurped power or confiscation, acts of terrorism, requisition or destruction of or damage to property by or under the order of any government or public or local authority, strike, lock-out; or (b) seizure or forfeiture under legal process; or (c) Error, act, default, omission, mis-statement or mis-representation by the Consignor, consignee or any other party claiming interest in the shipment; or (d) The violation of any of the terms and conditions contained on the shipping label or these Conditions of Carriage, tariff or other terms and conditions applicable to the shipment; or (e) Damage to articles packed and sealed in shipments by the Consignor, provided that the seal is unbroken at the time of delivery and the shipment retains its basic integrity; or (f) The erasure of data from or the loss or irretrievability of data stored on magnetic tapes, files or other storage media, or erasure or damage of photographic images or soundtracks from exposed film; or (g)The act, default or omission of any public authority carried out in connection with the entry, exit or transit of the shipments; or (h) Accidents to vehicles and other conveyances carrying the shipments; or (i) Flight delays.
Annexure C
NON DISCLOSURE AGREEMENT
This Mutual Nondisclosure Agreement (this “Agreement”), will govern the disclosure and receipt of certain information including Confidential Information (as defined hereinafter) between the parties in connection with their commercial relationship, discussions or transactions (the “Relationship”). This Agreement constitutes a legally binding agreement between Medisave Health & Lifestyle Pvt Ltd Seller Services Private Limited, a company incorporated under the Companies Act, 1956 having its registered office at 8th Floor, Brigade Gateway, 26/1 Dr. Rajkumar Road, Bangalore – 560 055 (“Medisave Health & Lifestyle Pvt Ltd ”/ “we”) and you or the business you represent (“you” / “your”).
This Agreement takes effect on the date on which you click the button below signifying your consent and acceptance to be bound by this Agreement (“Effective Date”).
If you do not agree with these terms, do not provide / disclose any Confidential Information to Medisave Health & Lifestyle Pvt Ltd . As of the Effective Date, both parties hereby agree as follows:
1. Affiliates; Confidential Information. The term “Affiliate” means with respect to either party, any entity in which such entity or its group companies have directly or indirectly, certain economic interest, and the term “Confidential Information” means all nonpublic information concerning the Relationship disclosed by either party, its Affiliates, or their agents (as applicable, such entities collectively, the “Disclosing Party”) to the other party, its Affiliates, or their agents (collectively, the “Receiving Party”) that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential. Confidential Information includes, without limitation (i) nonpublic information relating to the Disclosing Party’s technology, products, services, processes, data, customers, business plans and methods, promotional and marketing activities, finances and other business affairs, (ii) third-party information that the Disclosing Party is obligated to keep confidential, and (iii) the nature, content and existence of a Relationship, discussions or negotiations between the parties.
2. Exclusions. Confidential Information does not include any information that (i) is or becomes publicly available without breach of this Agreement (provided, however, information that is rumored or reported does not become public based only on such rumors or reports), (ii) was known by the Receiving Party prior to its receipt from the Disclosing Party, (iii) is disclosed to the Receiving Party from any third party, except where the Receiving Party knows, or reasonably should know, that such disclosure constitutes a wrongful or tortious act, or (iv) is independently developed by the Receiving Party without use of any Confidential Information.
3.Use and Disclosure of Confidential Information. The Receiving Party will use Confidential Information only in connection with the Relationship. Except as provided in this Agreement, the Receiving Party will not disclose Confidential Information to anyone without the Disclosing Party’s prior written consent. The Receiving Party will take reasonable measures to avoid disclosure, dissemination or unauthorized use of Confidential Information.
4. Receiving Party Personnel; Affiliates. The Receiving Party will restrict the possession, knowledge and use of Confidential Information to its directors, officers, employees, contractors, agents, legal and accounting advisers, and entities controlled by the Receiving Party (collectively, “Personnel”) who (i) have a need to know Confidential Information in connection with the Relationship, (ii) are informed of the confidential nature of the Confidential Information, and (iii) have obligations with respect to the Confidential Information that are consistent with this Agreement. Both of us (i.e., you and Medisave Health & Lifestyle Pvt Ltd ) will ensure that our respective Personnel and Affiliates comply with this Agreement.
5. Disclosures to Governmental Authorities. The Receiving Party may disclose Confidential Information as required to comply with orders of judicial and/or governmental authorities that have jurisdiction over it or as otherwise required by law.
6. Ownership of Confidential Information. All Confidential Information will remain the exclusive property of the Disclosing Party. The Disclosing Party’s disclosure of Confidential Information will not constitute an express or implied grant to the Receiving Party of any rights to or under the Disclosing Party’s patents, copyrights, trade secrets, trademarks or other intellectual property rights. Except to the extent permitted by applicable law in the absence of any express license or other grant of rights, neither party will use any trade name, trademark, logo or any other proprietary rights of the other party (or any of its Affiliates) in any manner without prior written authorization of such use by an authorized representative of such other party.
7. Notice of Unauthorized Use. The Receiving Party will notify the Disclosing Party promptly upon discovery of any unauthorized use or disclosure of Confidential Information or any other breach of this Agreement by the Receiving Party. The Receiving Party will cooperate with the Disclosing Party to help the Disclosing Party regain possession of such Confidential Information and prevent its further unauthorized use and disclosure.
8. Return of Confidential Information. Subject to compliance with orders of judicial and/or governmental authorities that have jurisdiction over it or as otherwise required by law, the Receiving Party will return or destroy all tangible materials or portions thereof constituting Confidential Information (including, without limitation, all summaries, copies and excerpts of Confidential Information) promptly following the Disclosing Party’s written request.
9. Injunctive Relief. The Receiving Party acknowledges that a breach of its obligations under this Agreement could cause irreparable harm to the Disclosing Party as to which monetary damages may be difficult to ascertain or an inadequate remedy. The Receiving Party therefore agrees that the Disclosing Party will have the right, in addition to its other rights and remedies, to seek injunctive relief for any violation of this Agreement.
10. Scope; Termination. This Agreement covers Confidential Information disclosed by the Disclosing Party on and after the Effective Date. This Agreement automatically will terminate upon the earlier of (i) termination of all written agreements between the parties or their Affiliates regarding the Relationship, or (ii) if no agreements are executed, termination of discussions between the parties or their Affiliates regarding the Relationship or delivery of written notice terminating this Agreement; provided, however, that (i) each party’s obligations with respect to the other party’s Confidential Information will survive for three (3) years following termination, and (ii) Sections 6, 9, 10, and 11 will survive indefinitely.
11. Miscellaneous.
(a) This Agreement constitutes the entire agreement between the parties relating to the matters discussed herein and supersedes all prior communications and agreements between the parties with respect thereto. This Agreement may be amended, modified, or waived only with the mutual written consent of the parties hereto. This Agreement will not be assignable by either party without the prior written consent of the other party; provided that prior written consent will not be required for any assignment by a party to an Affiliate. Subject to the limitations set forth in this Agreement, this Agreement will inure to the benefit of and be binding upon the parties and their respective successors and assigns.
(b) The Disclosing Party acknowledges that the Receiving Party may currently or in the future be developing information internally, or receiving information from other parties, that is similar to the Confidential Information. Accordingly, nothing in this Agreement will be construed as a representation or agreement that the Receiving Party will not develop or have developed for it products, concepts, systems or techniques that are similar to or compete with the products, concepts, systems or techniques contemplated by or embodied in the Confidential Information, provided that the Receiving Party does not violate any of its obligations under this Agreement in connection with such development. Additionally, either party shall be free to use the residuals resulting from access to or work with the other party’s Confidential Information for any purpose; however, the Receiving Party shall not disclose the Confidential Information except as permitted pursuant to the terms of this Agreement. The term “residuals” means information in intangible form, retained in the memory of persons employed or retained by the Receiving Party who have had access to or worked with the Confidential Information, including ideas, concepts, know-how or techniques contained therein. The Receiving Party shall not have any obligation to limit or restrict the assignment of such persons or to pay royalties for any work resulting from the use of residuals; provided, however, that this Section shall not be deemed to grant to the Receiving Party a license under any copyright or patent of the Disclosing Party.
(c) If a provision of this Agreement is held invalid under any applicable law, such invalidity will not affect any other provision of this Agreement that can be given effect without the invalid provision. Further, all terms and conditions of this Agreement will be deemed enforceable to the fullest extent permissible under applicable law, and, when necessary, the court is requested to reform any and all terms or conditions to give them such effect.
(d) This Agreement will be governed by the laws of India, without reference to its conflict of law rules. The courts at Delhi will have exclusive jurisdiction in relation to any disputes arising out of or relating to this Agreement.
(e) All notices hereunder will be given in writing, will refer to this Agreement and will be personally delivered or sent by overnight courier, electronic mail, or registered or certified mail (return receipt requested) to the address set forth below the parties’ signatures at the end this Agreement.
You acknowledge and accept that you have read this Agreement and grant your consent/acceptance to be legally bound by the terms and conditions as set out herein.
Annexure D
GUIDELINES FOR LABELLING AND PACKAGING
The following are the mandatory requirements for packages to be shipped with Medisave Health & Lifestyle Pvt Ltd .
Labelling Guidelines for Medisave Health & Lifestyle Pvt Ltd Shipping orders
1. The label print must be clear and readable, the bar code and QR code should be scannable and the ‘To/From address’ must be visible.
2. The size of a label shouldn’t be resized more than four labels on an A4 sheet which is 4’x6’ inches size for each label. Labels smaller than ‘4x6’ inches cannot be scanned and can lead to packages getting lost during the transit.
3. Do not fold the shipping label along any edge as the information at the bottom of the label is required at various points during transit.
4. Do not use polybags with pouch (POD bags) for packaging.
Note: Do not keep labels in the document pouch of the outer package.
5. Affix shipping label on the visible side of the package and put the invoice inside the package.
6. Use good quality sticky paper to print the labels. Do not make any markings on the shipping label.
7. Non-adherence to these guidelines can lead to the following:
(a) Pickup associate refusing to pick up the packages.
(b) Ship with Medisave Health & Lifestyle Pvt Ltd services getting disabled on your account.
(c) Orders getting cancelled or delayed.
Packaging guidelines for Ship with Medisave Health & Lifestyle Pvt Ltd orders
1. All items must be packed in packaging (envelope/box/polybag) with minimum 20 cm X 16 cm base dimension.
2. If you are using polybags for packaging purpose, you need to ensure that poly bags are used as specified under applicable law. The plastic should be thicker than 50 microns. It should be recyclable (it should have a logo for recycling) and include information about the manufacturer (name, address, license no), thickness, buyback price, composability (if applicable) and type of plastic. See below image, a sample packaging polybag which contains required specification.
Sample provided is indicative only.
3. Polybags with pouch (POD bags) should not be used for packaging.
4. The packaging material should be sturdy and the package should be supported for transportation.
5. Adequate cushioning in the form of dunnage should be provided to prevent the movement of items within the package.
6. Only new packaging material should be used.
7. All items for one order must be packed in one package.
8. Manufacturer’s box/package is not considered as packaging material for transportation. A separate outer packaging is mandatory.
9. Packages containing Hazmat or fragile products should carry required labelling.
General Packaging Guidelines
These are generic packaging advice to ensure safe transit and delivery of the package to the customer.
1. External Packaging: Ensure package is not oversized for the product (product package ratio should be appropriate).
2. Sealing: The packages should be sealed using H taping technique to ensure they do not open during transit. Good quality packaging tape (at least 2” wide) should be used.
3. Shipping Label: The shipping label should be of good quality.
4. Outbound Labels: Orientation (e.g. “This Side Up”) and category labels (e.g. Fragile) should be used wherever required.

PACKAGING AND LABELLING GUIDELINES FOR DANGEROUS GOODS
Dangerous goods (also called as Hazardous Materials or HAZMAT) are defined by various regulatory bodies as substances or materials that can pose an unreasonable risk to health, safety, or property while storing, handling or transporting in commerce. Hence, you are expected to adhere to guidelines in order to be compliant with the special regulations and procedures for shipping dangerous goods.
While the term “dangerous good” is often thought of as highly corrosive or toxic products, it actually also refers to consumer products used on a daily basis by millions of people (such as laptops, phones, household cleaners, or even cosmetics).
The only dangerous goods allowed to be shipped using the Services are those containing lithium batteries in or with equipment e.g., mobile phones, laptops etc. Items such deodorants, perfume, nicotine e-liquids, pesticides, toilet cleaners, power banks etc. are currently restricted from shipping using the Service. You can refer to the list of Medisave Health & Lifestyle Pvt Ltd products that may be regulated as dangerous goods and restricted on Ship with Medisave Health & Lifestyle Pvt Ltd
Following are the guidelines to ship dangerous goods in a manner that is safe and compliant with The International Air Transport Association (IATA) - Dangerous Goods Regulation (DGR) regulations:
1. Pack the products in a sturdy outer packaging with sufficient cushioning on the inner-side.
2. Paste any of the below suitable lithium battery labels (see the image below) on the outermost packaging of the product for all orders containing items with Lithium batteries:
(a) UN3481 label on packages containing lithium-ion batteries contained in equipment or Lithium ion batteries packed with equipment.
(b) UN3091 label on packages containing lithium metal batteries contained in equipment or Lithium metal batteries packed with equipment.
For shipping products containing lithium batteries, make sure that you have additional packaging over the manufacturer’s box and never ship the item only in the manufacturer’s packaging.

Requirements for lithium batteries and products that are shipped with lithium batteries
Lithium batteries are widely used and characterized by:
1. Long life
2. No memory effect (they don't lose their maximum energy capacity)
3. Slow loss of charge when not in use
While useful, they can also be dangerous. If damaged, dropped, crushed, or short-circuited, they can release dangerous amounts of heat and may ignite. They are also dangerous when exposed to heat. For these reasons, lithium batteries are always subject to specific transport requirements.
How do I know if my product contains a lithium battery?
Products containing lithium batteries do not have a specific sticker or symbol allowing you to recognize them. You can however easily recognize them by either looking at the battery itself (the battery composition is generally printed on the battery) or by reading the manufacturer’s documentation (e.g., product manual). You can also contact the supplier to learn more about your product.
Types of lithium batteries
There are many different types of lithium batteries. The three main types are described here.

Lithium-ion batteries
Lithium-ion batteries (Li-ion or LIB batteries) have lithium compounds as the electrode material, and are rechargeable. Li-ion batteries are widely used in portable electronic products such as mobile phones, laptops, tablets, MP3 players, and cameras.
Lithium metal batteries
Lithium metal batteries have lithium metal as an anode and are generally not rechargeable. They come in different shapes and forms, including the flat, round batteries used in watches. They are also commonly used in products such as calculators or flashlights.
Lithium-ion polymer batteries
Lithium-ion polymer batteries, often called lithium polymer batteries (Li-poly, Li-Pol, LIP, PLI or LiP) are rechargeable batteries usually composed of several identical secondary cells in parallel. They are used in some portable electronic products and fall under the family of lithium-ion batteries.
Regulation of lithium-ion batteries
Lithium batteries are always subject to specific transport requirements, without exception. Lithium-ion batteries can have a very high stored energy content, and this is why Medisave Health & Lifestyle Pvt Ltd will not ship some lithium-ion battery products.

Product Restrictions
This page tells you which products are restricted and cannot be shipped using the Ship with Medisave Health & Lifestyle Pvt Ltd Program.
The following products are excluded from the Ship with Medisave Health & Lifestyle Pvt Ltd Program. Medisave Health & Lifestyle Pvt Ltd reserves the right to change, modify, amend or alter the list of products which are excluded from the Ship with Medisave Health & Lifestyle Pvt Ltd Program. Your continued use of the Medisave Health & Lifestyle Pvt Ltd shipping Services constitutes your deemed consent to such revised terms and conditions.
1. Any products weighing over 18 kg's or the following dimensions – 70cm x 70cm x 45cm.
2. Alcoholic beverages and liquor confectionery.
3. Cigars, cigarettes, tobacco and any other products containing tobacco.
4. Following types of weapons:
(a) Firearms and all associated parts, kits and ammunition; Realistic Imitation Firearms; Air-weapons, Air guns, BB guns and Air-soft guns (not including toy guns provided they are not Realistic Imitation Firearms).
(b) Spear guns; mace; black powder and all explosives.
(c) Crossbows (all types, but not including toy crossbows which shoot plastic/foam darts).
(d) Slingshots/Catapults (not including toys such as catapults that come with an action figure toy).
(e) Offensive weapons.
(f) Any ammunition, kits spares or accessories for any of the above.
5. Fireworks or other pyrotechnics.
6. Knives, knife blades, razor blades, swords, daggers, axes and any other articles with a blade or which is sharply pointed and is made or adapted for use for causing injury to persons, with the exception of the following:
(a) Razor blades permanently enclosed in a cartridge or housing with less than 2mm of blade exposed.
(b) Unlockable folding blades of less than 3 inches.
(c) Folding blades of less than 3 inches part of a multi-tool device.
(d) Knives included in ordinary cutlery sets with forks and spoons (blocks of knives, sets including only knives and carving sets including only carving knifes and carving forks will be considered as excluded products).
(e) Electric carving knives.
7. Medicines and veterinary medicines, medicinal products, medicinal feeds and remedies of any type, including for example general sales list medicines, pharmacy only medicines, prescription only medicines, AVM – GSL medicines (Authorized Veterinary Medicine – General Sales List), NFA – VPS medicines (Non-Food Animal – Veterinarian, Pharmacist, Suitably Qualified Person) and POM-V medicines (Prescription Only Medicines – Veterinarian).
8. Any device, drug, vitamin, herbal product or other product which requires a doctor’s, optician’s or other health care provider’s prescription as a prerequisite for purchase or can only be stored, sold or shipped by a licensed health care provider.
9. Elements of the human body and medical implants any products made of or containing parts of any regulated endangered plant or animal such as for example elephant ivory, coral, sea turtle shells, most reptile skins.
10. Any product that contains other ingredients that are prohibited, restricted or regulated under applicable law.
11. Sex and sensuality products.
12. Products containing prohibited images of children and any other violent, offensive, obscene or sexual content that is unlawful in any of the countries to which Medisave Health & Lifestyle Pvt Ltd enables your products to be sold.
13. Loose gemstone products.
14. Any product that is placed on the market without the consent of the relevant brand or trademark owner.
15. Any product for which Seller either is not an “authorized reseller” (as designated by the product’s manufacturer or distributor), or does not provide to customers the manufacturer’s standard warranty therefore.
16. Any products that cannot be lawfully shipped to or sold in India.
17. Any product unit that:
(a) Is deemed subject to melting (chocolate, paraffin, etc.). Temperature-sensitive products must be able to withstand a minimum temperature of 10°C and a maximum temperature of 30°C for the duration of the product’s shelf life without adversely affecting product quality. Carton markings must not include storage temperature requirements unless expressed explicitly as a range from 10°C to 30°C.
(b) Is a live animal of any kind.
(c) Is regulated as a dangerous good or hazardous material (HAZMAT) by either the European Agreement concerning the International Carriage of Dangerous Goods by Road (ADR), the International Maritime Dangerous Goods Code (IMDG-Code) or the International Air Transport Association Dangerous Goods Regulations (IATA DGR) or any other relevant authority or agency under the applicable law; i.e. products that contains compressed gas, chemicals that are potentially explosive, flammable, corrosive, toxic, radioactive, magnetic, in either gaseous, liquid or solid (including powder) form. Consignment with Lithium battery products need to carry the necessary markings and need to comply with applicable provisions and testing requirements specified in the ADR and the IATA DGR provisions in order to be accepted by Medisave Health & Lifestyle Pvt Ltd .
Note: Medisave Health & Lifestyle Pvt Ltd may dispose of such items without compensating the seller.
(d) Is a prohibited drug.

CLAIMS PROCESS
For Medisave Health & Lifestyle Pvt Ltd marketplace shipments, claims must be filed after the receiver has been refunded for a delivery issue and the amount reimbursed to the customer has been taken from your seller account. For non-Medisave Health & Lifestyle Pvt Ltd marketplace shipments, it is your responsibility to reply to information requests from Medisave Health & Lifestyle Pvt Ltd investigators including proof of refund/reimbursement to recipient. Failure to provide sufficient information will result in denial of your claim.
You can file a claim from either on the ’Shipment Detail’ page or the ‘Claim Center’ on Shipper Central. You can track and filter the claims you submitted or submitted by Shipper Central Customer Service on your behalf in the Shipping Claim.
You can access Shipping Claim from main menu and the View Claims quick link while you are filing claims.
For all claims, we may require evidence in support of the declared Shipment value and other supporting documentation.
How to File a Claim?
From Shipment Detail Page:
1. Choose the reason code that best describes the issue from the options available.
2. Select File a Claim in Package Actions.
3. Find the shipment for which you want to file a claim in the Shipment tab and click on it.
(a) Select ‘Lost shipment’ for a package that was lost in transit.
(b) Select ‘Damaged shipment’ for a package that arrived with contents damaged in transit.
(c) Select DNR (Delivered but Not Received)/Item Missing/Switcheroo for a package where customer received an empty or different content. Please note that DNR cannot be selected for OTP verified deliveries.
(d) Select Cash collected from customer, but Delivery Associate marked it rejected for a shipment where the customer has confirmed delivery of the shipment and Delivery Associate has collected the cash but applied a "Rejected" scan and returned a fake or different product back to the shipper.
4. Provide any relevant detail in the message body. For example: recipient received a damaged parcel.
5. Click on Submit Claim.
From Claim Center:
1. Select Claims from the main menu to open the Claims Center.
2. Click File a Claim.
3. Choose the reason code that best describes the issue from the options available:
(a) Select Lost shipment for a package that was lost in transit.
(b) Select Damaged shipment for a package that arrived with contents damaged in transit.
(c) Select DNR/Item Missing/Switcheroo for a package where customer received an empty or different content. Please note that DNR cannot be selected for OTP verified deliveries.

Return Policy
Most items purchased from sellers listed on Medisave Health & Lifestyle Pvt Ltd .in are returnable within the return window, except those that are explicitly identified as not returnable.
For the products that are returned by the customer, the refund is issued to the original payment method (in case of pre-paid transactions) or to the bank account / as Medisave Health & Lifestyle Pvt Ltd Pay balance (in case of Pay on Delivery orders), the details for making such refund and the timelines are detailed in the refund policy available

Subject to Medisave Health & Lifestyle Pvt Ltd .in Home Services Terms and Conditions, a resolution will be provided based on the technician's evaluation report.
3. We will carry out verification checks and return will be processed only if:
· it is determined that the product was not damaged while in your possession;
· the product is not different from what was shipped to you;
· the product is returned in original condition (with brand’s/manufacturer's box, MRP tag intact, user manual, warranty card and all the accessories therein).
4. If you wish to return an electronic device that stores any personal information, please ensure that you have removed all such personal information from the device prior to returning. Medisave Health & Lifestyle Pvt Ltd shall not be liable in any manner for any misuse or usage of such information.
5. Products may not be eligible for return in some cases as covered in detail in the “Return Policy Types” table below, including cases of buyer's remorse such as incorrect model or color of product ordered or incorrect product ordered.
6. Products marked as "non-returnable" on the product detail page cannot be returned. However, in an unlikely event of damaged, defective or wrong item delivered to you, we will provide a full refund or replacement, as applicable.
